Responsibilities
Key tasks and responsibilities include:
* Perform, monitor and co-ordinate corporate secretarial duties, governance issues and related matters in respect of UBS Group entities in Asia Pacific (including organization and holding of regular directors' meetings and attendance to ancillary matters, annual general meetings, documentation in compliance with statutory and regulatory requirements, primarily for Hong Kong entities), attending to requests and matters generally in relation to corporate organization and matters originated from offices in other regions (Zurich Head Office, Americas, EMEA) and in Asia Pacific.
* Advise and provide training in Asia Pacific on general corporate and governance issues. Recommend, maintain and coordinate for reshaping and implementation of good corporate governance framework and practice in Asia Pacific region.
* Act as point person for Asia Pacific and coordinate within Asia Pacific in relating to global enquiries and reporting on governance related matters.
Supervise and administer a global corporate database of the Firm is so far as Asia Pacific is concerned.
* Perform a control function in ensuring Firm's internal control and policies relating to governance issues are followed.
* Provide legal advisory support to Firm's operations in Asia in the area of general corporate i.e. non-transactional/non-product.
* Provide input and support on the Firm's global and regional initiatives and projects on an ad hoc basis.
* Work as part of the corporate legal team and be prepared to provide backup support to other corporate legal team members (eg. general commercial work and corporate advisory, outsourcing, employment).
Requirements
Our ideal candidates should have the following requisites:
* Lawyer with 5-7 years pqe preferably with corporate secretarial experience.
* Ability to work independently and under compressed timeframe.
* Require minimum supervision (but yet to know when to escalate).
* Patient and meticulous with good analytical skills.
* Good communication and interpersonal skills with ability to interact and work with people from different areas and locations at all levels.
* Willingness to develop know-how on job.
* "Can do" attitude and prepare to roll up the sleeves, when required.
* Ability to read and write English essential. Mandarin reading and writing skills preferred.
